LazyspondWelcome to Lazyspond. By accessing or using our Software-as-a-Service (SaaS) platform, you agree to comply with and be bound by the following Terms of Service ("Terms"). These Terms govern your use of Lazyspond and constitute a legally binding agreement between you and Lazyspond.
1. Acceptance of Terms
By registering for, accessing, or using the Lazyspond platform, you explicitly agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept them and may not use the Service.
2. SaaS License and Usage Rights
Subject to these Terms and the payment of applicable subscription fees, Lazyspond grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the platform for your internal business operations.
As a cloud-hosted service, this is not a transfer of title or software ownership. You agree not to:
- Modify, adapt, translate, copy, or create derivative works from the Lazyspond platform;
- Sublicense, lease, rent, loan, or otherwise transfer your access rights to third parties;
- Attempt to reverse engineer, decompile, or disassemble the platform's proprietary systems, algorithms, or APIs;
- Use the platform to distribute unsolicited commercial messages (spam) or violate the service terms of third-party platforms (e.g., Meta/Instagram regulations);
- Use the platform to store or transmit malicious code, viruses, or unlawful material.
3. Global & Israeli SaaS Regulations
Lazyspond operates globally while being established under the laws of the State of Israel. Your use of the platform is subject to applicable global consumer protection and e-commerce laws, as well as specific Israeli legislation, including but not limited to the Israeli Consumer Protection Law (1981) where applicable.
For Users inside Israel: Notwithstanding any other provision, you retain any mandatory rights afforded by the Israeli Consumer Protection Law, including specific rules regarding the cancellation of continuous service transactions.
4. Meta Policies, Spam, and Account Suspensions
Lazyspond provides automation tools that interact directly with third-party networks, specifically Meta Platforms, Inc. (including Instagram and Facebook). You are strictly prohibited from using Lazyspond to send unsolicited messages (spam), engage in abusive behavior, or violate any of Meta's Developer Policies or Community Guidelines.
Assumption of Risk: You acknowledge and agree that automated activity carries inherent risks. Misuse of automations, aggressive messaging limits, or failure to comply with Meta's rules may result in the temporary restriction, suspension, or permanent ban of your social media accounts by Meta.
Release of Liability: Lazyspond has no control over Meta's moderation decisions. You are solely responsible for how you configure and use the automations. Lazyspond shall not be held liable for any account bans, loss of followers, loss of data, loss of revenue, or any other damages resulting from your use of the Service. By using Lazyspond, you explicitly waive your right to hold us legally or financially responsible for actions taken by third-party platforms against your accounts.
5. Prohibited Conduct & Right to Terminate
To protect our infrastructure, our users, and our standing with third-party providers, you explicitly agree not to use the platform to:
- Engage in any unlawful, fraudulent, defamatory, or harassing behavior;
- Attempt to bypass, circumvent, reverse-engineer, or exploit any rate limits, security mechanisms, or billing systems within Lazyspond;
- Sell, resell, rent, or lease access to Lazyspond without our explicit written authorization;
- Use the Service in any way that could damage our reputation, jeopardize our Meta App approval status, or bring Lazyspond into disrepute.
User Content Liability: You are solely and exclusively responsible for the content, links, and messages you configure and send using Lazyspond. We do not monitor, review, or endorse your automated messages. If you use the platform for illegal activities, scams, phishing, harassment, or distributing malicious content, you bear 100% of the legal and financial responsibility. Lazyspond acts strictly as a neutral technical conduit and assumes no liability for user-generated content.
Termination & Suspension: We reserve the absolute right to immediately suspend, restrict, or completely terminate your access to the Service, without prior notice or liability, and without offering a refund, if we determine (at our sole discretion) that your usage violates these Terms, abuses the system, or poses any legal, technical, or operational risk to us as the platform builders.
6. Third-Party API Dependence & Service Disruptions
Lazyspond relies entirely on continuous access to third-party APIs (specifically Meta's Instagram Messaging API). You acknowledge that Meta may change, deprecate, limit, or entirely impose new restrictions on their APIs at any time, with or without notice.
We do not guarantee uninterrupted functionality. Lazyspond and its developers shall not be held liable for any degradation, interruption, loss of features, or complete cessation of our Service caused directly or indirectly by changes, outages, policy updates, or access revocations enforced by Meta or any other third-party platform.
7. Subscription, Billing, and Cancellations
Lazyspond is offered as a subscription service. By subscribing, you authorize Lazyspond to charge your provided payment method on a recurring basis (e.g., monthly).
You may cancel your subscription at any time via your account dashboard. Upon cancellation, your access will remain active until the end of the current billing cycle. Lazyspond does not provide refunds or credits for partial months of service or unused time, except as explicitly mandated by consumer protection laws in your jurisdiction (such as those in Israel for relevant consumer transactions).
8. Data Rights and Privacy
You retain all rights to the data you input into Lazyspond ("Customer Data"). By using the Service, you grant Lazyspond a license to host, process, and display your Customer Data strictly as necessary to provide the Service to you. Processing of personal data is governed strictly by our Privacy Policy and applicable data protection laws (including GDPR and the Israeli Privacy Protection Law, 1981).
9. Disclaimer of Warranties & Limitation of Liability
"AS IS" BASIS: The Lazyspond platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Lazyspond disclaims all warranties of any kind, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or entirely secure.
LIMITATION OF LIABILITY: Under no circumstances—including negligence, contract breach, or tort—shall Lazyspond, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data loss, loss of goodwill, business interruption, or penalties incurred from third-party networks (e.g., Meta) arising from your use of the service.
To the maximum extent permitted by law, Lazyspond’s total aggregate liability arising out of or related to these Terms will not exceed the total amount paid by you for the Service in the twelve (12) months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Lazyspond, its affiliates, and its respective officers and employees from and against any third-party claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property or privacy rights.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel.
12. Changes to Terms
Lazyspond reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the platform after changes become effective constitutes your acceptance of the revised Terms.
